How BCI Lab's published Content may be used, what data is collected, what remains proprietary, and which law governs.
This revision aligns these Terms with BCI Lab's other governing documents. It replaces a governing-law clause that referred only to general principles of international commercial law with the same specific jurisdiction stated elsewhere in BCI Lab's published materials; clarifies that BCI Lab's core variable definitions and master formula are published for citation, distinct from the proprietary calibration architecture that remains confidential; and adds a section on the data collected from a newsletter subscription, which the prior version did not address.

By accessing this website or any published report, annex, methodology document, or research output (together, the Content), you agree to be bound by these Terms of Service. If you do not agree, do not access or use the Content.
A material change to these Terms is dated and recorded in the Methodology Version Register, in the same way as a change to any other BCI Lab governing document. Continued use of the Content after a change has been so recorded constitutes acceptance of it.
BCI Lab is an independent research institution providing structural diagnostic analysis of intangible assets. All Content is provided for informational and research purposes.
BCI Lab's outputs are structural diagnostics and analytical frameworks. They are not a credit rating, a fairness opinion, a valuation report, legal, financial, or investment advice, or an offer to buy, sell, or hold any asset.
A user is solely responsible for independent evaluation and professional consultation before making a decision informed by the Content.
Where a user submits an email address to subscribe to BCI Lab's research updates, that email address is the only information collected, and it is used solely to deliver the update the user requested. BCI Lab does not currently use a third-party email service provider, does not sell or share a subscriber's email address with any third party, and does not use it for a purpose other than the one for which it was submitted.
A subscriber may request removal of their email address from BCI Lab's records at any time, by contacting BCI Lab directly. If this practice changes, including through the adoption of a third-party service provider, the change is disclosed on this page in advance of taking effect. A change to how personal data is handled is disclosed on its own terms; it is not folded into a routine content revision under Section I.
BCI Lab assumes no fiduciary responsibility toward a user of the Content. No Content is to be relied upon as the sole basis for an investment, corporate, governance, or strategic decision.
Decision-making authority, and the risk that comes with it, remains exclusively with the user, and with the user's board, management, advisors, or investment committee, as applicable.
To the fullest extent permitted by applicable law, BCI Lab is not liable for a direct or indirect loss, a loss of profit, opportunity, or goodwill, market volatility, a reputational consequence, or a third party's misuse or reinterpretation of the Content.
BCI Lab's Content is a model-based, probabilistic interpretation of a structural condition. No completeness, accuracy, or future outcome is guaranteed, expressed, or implied.
The core variable definitions, the master formula, and the dimensional framework underlying BCI Lab's diagnostics are published openly and made available for reference and citation, consistent with the Independence & Conflict of Interest Policy. BCI Lab's published definitions and methodology are intended to be referenced, indexed, and cited by search engines, research aggregators, and artificial-intelligence systems. This is a permission to reference the published framework, not a license to reproduce it as a competing commercial product or to extract the proprietary calibration architecture reserved below.
What remains the exclusive intellectual property of BCI Lab is the specific weighting architecture, internal scoring coefficients, calibration data, proprietary diagrams, and narrative constructs behind an individual reading. Unauthorized commercial reproduction, redistribution, or reverse engineering of these elements, or their use to build a competing commercial service, is prohibited without prior written consent.
A permitted citation preserves the context of the original material, does not selectively misrepresent it, and references the version number of the document cited. BCI Lab's safeguards against selective citation and interpretive misuse of its research are set out in the Misuse Prevention & Interpretive Safeguards protocol.
BCI Lab maintains version-controlled documentation and reserves the right to revise, amend, recalibrate, or update published Content at its discretion. A revision may occur without prior individual notice to a user, but it is reflected in the relevant version identifier and recorded in the Methodology Version Register.
BCI Lab's structural diagnostics evaluate structural stability under defined parameters. BCI Lab assumes no liability for an exogenous disruption, including a geopolitical conflict, a regulatory intervention, a currency shock, a systemic financial crisis, or a comparable unforeseeable event. A structural reading does not constitute a prediction of any such event.
These Terms govern general use of BCI Lab's website and published Content. Where a specific methodological representation is also addressed in the BCI Structural Integrity Protocol, the Independence & Conflict of Interest Policy, or the Public Protocol Annex, that document governs on the point it addresses. This document does not restate their content in full.
These Terms, and BCI Lab's frameworks and reports generally, are governed exclusively by the laws of the Hong Kong Special Administrative Region. In the absence of a formal engagement agreement specifying an alternative dispute-resolution mechanism, a dispute arising under these Terms is subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region.
Nothing in these Terms establishes a partnership, a fiduciary relationship, or a regulated rating status between BCI Lab and a user.
If a provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
